performance of services remain solely subject to the availability, capacity, location, scheduling constraints,
and independent discretion of the applicable Service Provider.
4.4 No Guarantee of Resolution
The twenty-four (24) hour response commitment applies solely to Dingdoor's effort to provide assistance,
guidance, communication, and coordination support and does not constitute a guarantee that a Service
Provider will be available, dispatched, scheduled, or able to resolve the issue within such timeframe.
While Dingdoor will use commercially reasonable efforts to help facilitate a timely solution, Dingdoor does
not guarantee the resolution of any emergency, urgent matter, repair, service request, property condition,
project issue, or customer concern within any specific period of time.
4.5 Marketplace Status

other outcomes arising from or related to an urgent service request.
The availability, timing, quality, and outcome of any service remain subject to the actions and decisions of
the applicable Service Provider.
4.7 No Emergency Service
Nothing in this section shall be interpreted as creating an emergency response service, disaster response
service, guaranteed dispatch service, guaranteed repair service, public safety service, first-response
service, or assumption of liability by Dingdoor.
Urgent Request Assistance is a membership coordination benefit intended to help members obtain
support and access available Service Providers more efficiently and does not create any guarantee of
provider availability, service completion, or problem resolution.

5.2 Scope of Assistance
Personal Assistance is intended to simplify the customer experience and help members manage
service-related needs more efficiently.
However, Personal Assistance is a coordination and support benefit only and does not constitute
professional advice, project management services, property management services, emergency response
services, construction management services, legal services, insurance services, financial services, or a
guarantee of outcomes.

scheduling results, inspections, repairs, communications, or resolution of any specific issue.
5.6 Provider Independence
The availability, timing, quality, pricing, and performance of services remain subject to the independent
decisions, availability, capacity, business operations, and actions of the applicable Service Provider.
Customer acknowledges that Dingdoor operates as a technology platform and service coordination
ecosystem and does not perform the underlying services provided by independent Service Providers.
5.7 Limitation of Liability
To the fullest extent permitted by applicable law, Dingdoor shall not be liable for delays, missed
appointments, provider actions, provider omissions, project outcomes, scheduling limitations, claim
outcomes, pricing decisions, service performance, AI-generated recommendations, automated
communications, data collection activities, administrative processing delays, or other matters outside

availability, guarantee of pricing, guarantee of project completion, guarantee of claim resolution,
guarantee of emergency response, guarantee of scheduling success, or assumption of liability by
Dingdoor.
The Personal Assistance benefit is intended solely to provide coordination, support, communication, and
administrative assistance within the Dingdoor ecosystem and does not create any obligation by Dingdoor
to achieve a specific outcome, result, service level, or resolution.
SECTION 6
DINGDOOR GUARANTEE

The Dingdoor Guarantee is available exclusively to active Dingdoor Plus Members who have maintained
an active membership for a minimum of three (3) consecutive months.

for the Dingdoor Guarantee.

Guarantee may provide up to Two Thousand Dollars ($2,000 USD) in labor-related corrective work
benefits for qualifying workmanship-related claims.

cash reimbursement, cash payment, insurance payment, monetary settlement, or direct compensation.
The maximum aggregate benefit available under the Dingdoor Guarantee shall not exceed Two Thousand
Dollars ($2,000 USD) per Customer and per Property during any rolling twelve (12) month period,
regardless of the number of projects, claims, repairs, service requests, recurring services, or Service
Providers involved.
6.3 Service Provider Responsibility and Insurance
Service Providers participating in the Dingdoor ecosystem are independent contractors and independent
businesses and are not employees, agents, representatives, partners, joint venturers, subsidiaries,
affiliates, or legal representatives of Dingdoor.
Each Service Provider is solely responsible for its services, workmanship, personnel, supervision,
permits, licenses, certifications, materials, equipment, safety practices, warranties, liabilities, acts,
omissions, and service outcomes.
Dingdoor requires Preferred Service Providers to maintain General Liability Insurance coverage as part of
their participation in the Dingdoor ecosystem. Such insurance is intended to serve as the primary source
for the investigation, handling, defense, settlement, and resolution of claims involving property damage,
bodily injury, negligence, defective workmanship, service-related damages, or other liabilities arising from
the Service Provider's work.
Any claim involving damages, losses, injuries, property damage, negligence, defective workmanship,
delays, omissions, or other liabilities arising from services performed by a Service Provider shall be
directed primarily to the applicable Service Provider and, where applicable, the Service Provider's
insurance carrier.
Dingdoor may assist in coordinating communications, collecting documentation, facilitating inspections,
helping initiate claims, and managing the initial stages of the claim process on behalf of the Customer;
however, Dingdoor does not assume responsibility for the underlying services performed by the Service
Provider and shall not be liable for claim outcomes, insurance decisions, coverage determinations,
settlements, denials, judgments, damages, losses, or other liabilities associated with any claim.
To the fullest extent permitted by law, Dingdoor shall not be responsible for property damage, bodily
injury, negligence, defective workmanship, delays, losses, damages, or liabilities arising from services
performed by independent Service Providers.
6.4 Claim Process
Claims must be submitted to Dingdoor within seven (7) calendar days following completion of the
applicable service.
Customers are encouraged to inspect completed work within twenty-four (24) hours following service
completion and promptly report any visible concerns.
Claims may be submitted through the Dingdoor Platform, the Dingdoor mobile application, or by
contacting [email protected].
Dingdoor reserves the right to inspect, investigate, verify, approve, deny, limit, modify, condition, or
otherwise evaluate any claim submitted under the Dingdoor Guarantee.
Submission of a claim does not create an automatic entitlement to any benefit, reimbursement, repair,
corrective work, or compensation.
6.5 Reimbursement Method
Approved claims are resolved exclusively through Dingdoor service credits.
The Dingdoor Guarantee is not a cash refund program, reimbursement policy, insurance product,
warranty policy, service contract, indemnification obligation, or assumption of liability by Dingdoor.
6.6 Exclusions
The Dingdoor Guarantee does not apply to:
(a) pre-existing conditions;
(b) normal wear and tear;

of profits, loss of business, loss of opportunity, or similar damages;
(k) materials, equipment, permits, inspections, upgrades, redesigns, engineering services, architectural
services, utility costs, transportation costs, or other non-labor expenses;
(l) claims submitted after the applicable claim submission period; or
(m) matters covered by manufacturer warranties, product warranties, insurance policies, third-party
guarantees, or other available remedies.
6.7 Voluntary Customer Benefit
The Dingdoor Guarantee is a voluntary customer benefit offered exclusively to eligible Dingdoor Plus
Members.
The Dingdoor Guarantee is separate from and secondary to any liability insurance, warranty, bond, or
other protection maintained by the applicable Service Provider and may only be considered after
applicable Service Provider remedies, warranties, insurance protections, or other available remedies have
been reviewed by Dingdoor.
Subject to inspection, verification, eligibility requirements, and approval by Dingdoor, the Dingdoor
Guarantee may provide up to Two Thousand Dollars ($2,000 USD) in labor-related corrective work
benefits for qualifying workmanship-related claims.
The Dingdoor Guarantee is intended solely as an additional customer benefit to assist with approved
labor-related corrective work and does not constitute insurance, liability coverage, a warranty policy, a
service contract, a guarantee of outcomes, indemnification, or an assumption of liability by Dingdoor.
Nothing in the Dingdoor Guarantee shall be interpreted as creating legal responsibility for the actions,
omissions, workmanship, liabilities, damages, obligations, or insurance responsibilities of any Service
Provider.
The Dingdoor Plus Membership, the Dingdoor Guarantee, and all related membership benefits are not
insurance products, warranty programs, indemnification programs, surety products, risk-transfer
mechanisms, or assumptions of liability by Dingdoor.

savings on qualifying services and products obtained through the Dingdoor Platform.
7.2 Negotiation Efforts
The Member Savings Benefit represents Dingdoor's commitment to negotiate and seek the most
favorable pricing reasonably available from participating Service Providers.
Dingdoor will make commercially reasonable efforts to obtain up to a ten percent (10%) savings whenever
possible; however, such savings are not guaranteed and may vary depending on the specific service,
market conditions, project requirements, provider availability, location, timing, urgency, labor
requirements, material costs, permit requirements, and other factors influencing the service.
7.3 Provider Pricing Authority
Customer acknowledges that all pricing is ultimately determined by the applicable Service Provider and
remains subject to the Service Provider's independent business judgment, operating costs, availability,
scheduling constraints, and acceptance of any proposed discount.
Dingdoor does not control, establish, mandate, or guarantee the pricing decisions of independent Service
Providers.
7.4 Exclusions and Limitations
The Member Savings Benefit may not apply to all services, projects, service categories, emergency
requests, after-hours services, holiday services, expedited services, specialty services, custom projects,
permit-related work, diagnostic visits, minimum service charges, materials, third-party costs, or situations
where the Service Provider establishes pricing based on urgency, schedule prioritization, limited
availability, or other special circumstances.
Eligibility for savings may vary depending on the service category, market conditions, provider
participation, and other operational considerations determined by Dingdoor and the applicable Service
Provider.
7.5 Market Pricing Disclaimer
Dingdoor does not guarantee that pricing obtained through the Dingdoor Platform will be lower than
pricing offered by other providers, competitors, marketplaces, contractors, or third parties.
Dingdoor does not guarantee any fixed pricing, specific discount amount, market-rate pricing,
price-matching, pricing parity, or pricing consistency with quotes, estimates, proposals, or pricing
information obtained by the Customer from other sources.
7.6 Pricing Adjustments
Customer acknowledges that initial estimates, quotes, or pricing discussions may change following an
inspection, diagnostic review, site visit, discovery of hidden conditions, permit requirements, safety
concerns, access limitations, scope changes, unforeseen conditions, or other circumstances identified by
the Service Provider after arriving at the service location.
In the event of a pricing adjustment, Customer will be notified of the basis for the adjustment and will have
the opportunity to approve or decline the revised pricing before additional work is performed.
If the Customer declines the revised pricing, Dingdoor and the applicable Service Provider shall have no
obligation to proceed with the requested services.
7.7 No Guaranteed Discount
Nothing in this section shall be interpreted as creating a guaranteed discount program, guaranteed
savings program, price-matching program, fixed-pricing program, or contractual obligation by Dingdoor to
obtain any specific discount, savings amount, service price, market rate, or pricing outcome.
The Member Savings Benefit is intended solely as a membership benefit designed to help members
obtain competitive pricing opportunities through the Dingdoor ecosystem and shall not be construed as a
guarantee of pricing, discount levels, or economic outcomes.

monitoring, customer feedback evaluations, background reviews where permitted by law, and other
standards established by Dingdoor.

responsiveness, quality-control evaluations, claim history, customer feedback, and other operational
metrics designed to help maintain a high-quality customer experience.
8.4 Independent Contractor Status
While Dingdoor establishes quality standards and performs ongoing monitoring, all Service Providers
operate as independent contractors or independent business entities and are not employees, agents,
representatives, partners, joint venturers, subsidiaries, affiliates, or legal representatives of Dingdoor.
Nothing in these Terms shall be interpreted as creating an employment relationship, agency relationship,
partnership, joint venture, franchise relationship, or similar legal relationship between Dingdoor and any
Service Provider.
8.5 No Control of Operations
Service Providers maintain independent control over their businesses, personnel, schedules, operations,
methods, tools, materials, pricing, service execution, and business decisions.
As a result, Dingdoor does not supervise, direct, control, manage, or guarantee the day-to-day
performance of services performed by Service Providers.
8.6 No Guarantee of Provider Conduct
Although Dingdoor expects Service Providers to comply with Dingdoor standards, policies,
customer-service expectations, quality requirements, and professional conduct expectations, Dingdoor
cannot guarantee the actions, omissions, performance, decisions, conduct, workmanship, availability,
timeliness, professionalism, or outcomes of any individual Service Provider.
8.7 Provider Responsibility
Customers acknowledge that Service Providers remain solely responsible for their services,
workmanship, warranties, permits, licenses, certifications, insurance obligations, liabilities, personnel,
subcontractors, acts, omissions, and service outcomes.
Service Providers are solely responsible for complying with applicable laws, regulations, permitting
requirements, licensing requirements, safety requirements, and insurance requirements applicable to their
services.
8.8 Dingdoor Assistance
In the event of a service concern, complaint, dispute, workmanship issue, scheduling issue,
customer-service issue, or claim, Dingdoor may assist in facilitating communications, collecting
documentation, coordinating inspections, monitoring resolution efforts, and supporting the Customer
throughout the process.
However, Dingdoor does not assume responsibility for the underlying services performed by the Service
Provider and shall not be liable for the Service Provider's actions, omissions, decisions, workmanship,
delays, damages, liabilities, or service outcomes.
8.9 Provider Cooperation
Service Providers participating in the Dingdoor ecosystem are expected to cooperate with Dingdoor's
quality-control procedures, customer-support processes, claim-review procedures, audit procedures, and
dispute-resolution efforts.
However, as independent contractors and independent businesses, Service Providers ultimately retain
responsibility for their own decisions, actions, communications, resolutions, and business practices.

concerns, safety concerns, communication issues, workmanship concerns, or other incidents directly
through the Dingdoor Platform, customer support channels, reviews system, ratings system, or other
communication channels made available by Dingdoor.
Prompt reporting helps Dingdoor evaluate concerns, monitor provider performance, and support
quality-control efforts.
8.11 Ratings and Reviews
Customer reviews, ratings, feedback, quality-control audits, service history, claim history, responsiveness
metrics, and operational performance metrics play an important role in maintaining the integrity of the
Dingdoor ecosystem and helping identify opportunities for continuous improvement.
Dingdoor reserves the right to use such information in evaluating, monitoring, restricting, suspending,
removing, or otherwise managing Service Provider participation within the Dingdoor ecosystem.
8.12 Continuous Improvement
Dingdoor will continue to make commercially reasonable efforts to monitor provider performance, promote
high service standards, improve customer experiences, support Customers, and advance its mission of
delivering a trusted and reliable service ecosystem.
However, Dingdoor does not guarantee the performance, conduct, responsiveness, availability,
qualifications, workmanship, pricing, scheduling, or outcomes of independent Service Providers.
Nothing in this section shall be interpreted as creating a guarantee of service quality, provider
performance, provider availability, project outcomes, or assumption of liability by Dingdoor.

Claims submitted prior to cancellation may continue to be reviewed and processed by Dingdoor in
accordance with the Dingdoor Guarantee terms, eligibility requirements, verification procedures, claim
review procedures, and approval requirements in effect at the time the claim was submitted.
Cancellation of a membership does not automatically create eligibility for a claim, nor does it obligate
Dingdoor to approve, reimburse, compensate, repair, or provide benefits for any pending claim.
Submission of a claim prior to cancellation shall not alter the review, investigation, verification, approval,
denial, limitation, or eligibility requirements applicable to such claim.
9.6 Recurring Services After Cancellation
If a Member cancels Dingdoor Plus before a scheduled recurring service, subscription service,
maintenance service, or future appointment is performed, any membership discounts, pricing benefits, or
Dingdoor Plus-exclusive pricing previously applied to future services may be removed.

change to these Terms and Conditions, the Member's sole remedy shall be to cancel the Dingdoor Plus
Membership prior to the effective date of the applicable change.
Nothing in this section shall be interpreted as limiting Dingdoor's ability to modify, improve, suspend,
replace, restructure, or discontinue membership benefits, provided such actions are carried out in
accordance with applicable law.
SECTION 10
GOVERNING LAW, VENUE AND DISPUTE RESOLUTION
10.1 Applicable Local Laws

other than the jurisdiction described in these Terms, except where such restriction is prohibited by
applicable law.

Prior to initiating litigation, arbitration, administrative proceedings, regulatory complaints, or other formal
legal proceedings against Dingdoor, the parties agree to make commercially reasonable and good-faith
efforts to resolve the dispute through direct communication, informal negotiations, and voluntary
resolution procedures.
Nothing in this section shall prohibit either party from seeking emergency equitable relief, injunctive relief,
temporary restraining orders, or other remedies where immediate action is reasonably necessary to
protect legal rights or prevent irreparable harm.
10.5 Equitable Remedies
Customer acknowledges that violations involving intellectual property rights, proprietary information,
confidential information, misuse of the Dingdoor Platform, unauthorized use of Dingdoor technology,
misuse of Dingdoor branding, fraudulent activity, or other conduct causing irreparable harm may entitle
Dingdoor to seek injunctive relief, equitable remedies, specific performance, temporary restraining orders,
preliminary injunctions, permanent injunctions, or other remedies available under applicable law.
Such remedies shall be available in addition to any other rights or remedies available to Dingdoor.

and independent discretion of the applicable Service Provider.

The availability, timing, quality, and outcome of any service remain subject to the actions and decisions of
the applicable Service Provider.
4.7 No Emergency Service

service, guaranteed dispatch service, guaranteed repair service, public safety service, first-response
service, or assumption of liability by Dingdoor.

Customer acknowledges that Dingdoor operates as a technology platform and service coordination
ecosystem and does not perform the underlying services provided by independent Service Providers.

outcomes, pricing decisions, service performance, AI-generated recommendations, automated
communications, data collection activities, administrative processing delays, or other matters outside

availability, guarantee of pricing, guarantee of project completion, guarantee of claim resolution,
guarantee of emergency response, guarantee of scheduling success, or assumption of liability by
Dingdoor.
The Personal Assistance benefit is intended solely to provide coordination, support, communication, and
administrative assistance within the Dingdoor ecosystem and does not create any obligation by Dingdoor
to achieve a specific outcome, result, service level, or resolution.
SECTION 6

an active membership for a minimum of three (3) consecutive months.

Dingdoor may assist in coordinating communications, collecting documentation, facilitating inspections,
helping initiate claims, and managing the initial stages of the claim process on behalf of the Customer;
however, Dingdoor does not assume responsibility for the underlying services performed by the Service
(a) pre-existing conditions;
(b) normal wear and tear;

services, utility costs, transportation costs, or other non-labor expenses;

While Dingdoor establishes quality standards and performs ongoing monitoring, all Service Providers
operate as independent contractors or independent business entities and are not employees, agents,

Service Providers participating in the Dingdoor ecosystem are expected to cooperate with Dingdoor's
quality-control procedures, customer-support processes, claim-review procedures, audit procedures, and

concerns, safety concerns, communication issues, workmanship concerns, or other incidents directly
through the Dingdoor Platform, customer support channels, reviews system, ratings system, or other

Such services may be billed at the standard non-member rate unless otherwise approved by Dingdoor.

change to these Terms and Conditions, the Member's sole remedy shall be to cancel the Dingdoor Plus
10.1 Applicable Local Laws

are performed.
Customers and Service Providers remain responsible for complying with all applicable laws, regulations,
codes, licensing requirements, permit requirements, and governmental requirements associated with the
services provided.
10.2 Exclusive Venue
To the fullest extent permitted by applicable law, any dispute, claim, controversy, action, proceeding,
investigation, demand, or legal matter arising out of or relating to these Terms and Conditions, the
Dingdoor Plus Membership, the Dingdoor Platform, payments processed through Dingdoor, customer

Customer and Dingdoor shall be exclusively resolved in the state or federal courts located in the
jurisdiction where Dingdoor maintains its principal corporate headquarters or primary legal office at the
time such dispute arises.
10.3 Consent to Jurisdiction

Customer further agrees not to initiate, maintain, or pursue claims against Dingdoor in any jurisdiction
other than the jurisdiction described in these Terms, except where such restriction is prohibited by
applicable law.
10.4 Good-Faith Resolution Requirement

Dingdoor regarding the Dingdoor Plus Membership and supersede all prior or contemporaneous
discussions, communications, representations, understandings, proposals, marketing materials, or
agreements relating to the subject matter herein.
